Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Ranked Revenue Toolkit (“the Toolkit”) operated by Triangle City Digital (“we,” “us,” or “our”). By accessing the Toolkit, you agree to be bound by these Terms in full. If you do not agree, do not use the Toolkit.

1. Access and Eligibility

Access to the Toolkit is granted exclusively to enrolled members of the Ranked Revenue Bootcamp course. Access is personal and non-transferable. You may not share your credentials or grant access to any third party. We reserve the right to suspend or terminate access at any time, with or without notice, for any reason including but not limited to violation of these Terms.

2. Educational and Informational Purpose Only

The Toolkit is provided strictly for educational and informational purposes. Nothing in the Toolkit, including course materials, tool outputs, data, scores, or generated content, constitutes business, financial, legal, or professional advice of any kind. You are solely responsible for evaluating the suitability of any information for your specific situation and for all decisions and actions you take based on it.

We make no representations or warranties regarding:

  • The accuracy, completeness, timeliness, or reliability of any data displayed
  • The suitability of any market, niche, keyword, or location for any business purpose
  • Any income, ranking, traffic, lead, or result from acting on Toolkit data or course strategies
  • Whether any strategy, tactic, or practice taught or facilitated by the Toolkit will remain effective, permissible, or legal in the future

3. Third-Party Platform Compliance: Your Sole Responsibility

This is a critical section. Read it carefully.

The Toolkit facilitates strategies related to local SEO, website building, and digital marketing. Many of these strategies involve interacting with third-party platforms including but not limited to Google Search, Google Business Profile (“GBP”), Google Maps, Google Ads, and various review platforms. Each of these platforms has its own Terms of Service, policies, and guidelines that are subject to change at any time without notice.

You acknowledge and agree that:

  • You are solely and exclusively responsible for ensuring that all of your activities, including but not limited to creating, verifying, or managing Google Business Profiles; soliciting, responding to, or managing online reviews; building and publishing websites; running advertising campaigns; and any rank-and-rent or lead generation activities, comply at all times with the applicable terms, policies, and guidelines of Google and any other relevant platform.
  • We do not endorse, encourage, or instruct you to violate Google’s Terms of Service, Google Business Profile policies, Google Maps policies, Google Ads policies, or the policies of any other platform.
  • We are not responsible for monitoring changes to third-party platform policies. It is your responsibility to stay current with all applicable policies and to adjust your business practices accordingly.
  • We make no representation that any strategy, tool, or technique provided through the Toolkit complies with any third-party platform’s current or future terms of service.
  • Any suspension, penalty, delisting, removal, or enforcement action taken by Google or any other platform against you, your clients, your websites, your Google Business Profiles, or your accounts is entirely your responsibility. We bear no liability whatsoever for such actions.

4. Google Business Profile (GBP) Disclaimer

The Toolkit may reference strategies related to Google Business Profile creation, verification, and optimization. You acknowledge and agree that:

  • Creating or managing a Google Business Profile for a business you do not own or operate may violate Google’s policies. You are solely responsible for ensuring you have proper authorization for any GBP you create or manage.
  • GBP verification methods, eligibility requirements, and policies are set exclusively by Google and change frequently. We make no guarantee that any verification method discussed is currently permitted or will remain so.
  • GBP suspensions, removals, or penalties are Google’s sole discretion. We have no ability to prevent, appeal, or remedy such actions and bear no liability for them.
  • Any agreements between you and business clients regarding GBP management are solely between you and those clients. We are not a party to such arrangements.

5. Online Reviews Disclaimer

The Toolkit may reference strategies for generating or managing online reviews. You acknowledge and agree that:

  • You are solely responsible for ensuring that any review solicitation or management practices you employ comply with Google’s review policies, the FTC’s guidelines on endorsements and testimonials, and all applicable laws.
  • Incentivizing, purchasing, fabricating, or otherwise manipulating reviews is prohibited by most platforms and may be illegal. We do not endorse such practices and expressly disclaim any liability arising from them.
  • Review removal, suppression, or platform enforcement actions are beyond our control and are not our responsibility.

6. Rank-and-Rent and SEO Disclaimer

The Opportunity Finder and related tools assist with evaluating local SEO and rank-and-rent opportunities. You acknowledge and agree that:

  • Search engine rankings are determined solely by search engine algorithms owned and operated by third parties. We have no control over, affiliation with, or ability to influence any search engine ranking.
  • Rankings can drop, disappear, or be penalized at any time due to algorithm updates, manual actions, or policy enforcement. None of which we control or can predict.
  • The rank-and-rent business model carries inherent financial, legal, and operational risks. Income results vary dramatically and are not guaranteed. Past results of any instructor, student, or case study are not indicative of your results.
  • You are solely responsible for all rank-and-rent agreements, contracts, leases, and client relationships. We are not a party to any such arrangement and bear no liability for disputes, non-payment, client dissatisfaction, or any other outcome.
  • Keyword data from the Google Ads API represents historical estimates only and does not guarantee any actual traffic, leads, calls, or revenue.

7. AI-Generated Content

The Website Builder uses OpenAI’s API to generate website copy. AI-generated content may contain errors, inaccuracies, omissions, or content that violates third-party rights or applicable law. You are solely responsible for reviewing, editing, fact-checking, and approving all content before publication. Publishing AI-generated content without review is done entirely at your own risk. We disclaim all liability for any claim arising from AI-generated content you distribute or publish.

8. Google Ads API and Data Use

The Opportunity Finder uses the Google Ads API to retrieve publicly available keyword metrics. This feature is subject to Google’s API Terms of Service. You agree not to use Toolkit data in any manner that violates Google’s policies. We reserve the right to restrict or discontinue any feature if required by Google or any other API provider.

9. No Endorsement of Policy Violations

We do not endorse, encourage, facilitate, or condone violation of the terms of service, policies, or guidelines of Google, Meta, Yelp, or any other platform. Any interpretation of course materials or Toolkit features as encouraging policy violations is incorrect and contrary to our intent. You agree to use the Toolkit only in compliance with all applicable laws and platform policies.

10. Prohibited Use

You agree not to:

  • Use the Toolkit for any unlawful purpose or in violation of any applicable law or regulation
  • Use the Toolkit to facilitate activities that violate any third-party platform’s terms of service
  • Fabricate, purchase, or manipulate online reviews using Toolkit resources
  • Reverse-engineer, scrape, or bulk-extract data from the Toolkit
  • Share, resell, or sublicense access to the Toolkit or its outputs
  • Generate or publish misleading, defamatory, or infringing content using the Toolkit
  • Abuse usage limits or circumvent rate limiting

11. Limitation of Liability

To the maximum extent permitted by applicable law, Triangle City Digital and its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: loss of profits or revenue; loss of business opportunities; loss of data; Google or platform penalties, suspensions, or delistings; client disputes or non-payment; search ranking drops; or any other commercial loss — arising out of or related to your use of or inability to use the Toolkit, regardless of the theory of liability and even if advised of the possibility of such damages.

Our total aggregate liability for any claims under these Terms shall not exceed the greater of: (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) CAD $100.

12. Indemnification

You agree to fully indemnify, defend, and hold harmless Triangle City Digital and its owners, officers, employees, and agents from any claims, demands, liabilities, damages, fines, penalties, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Toolkit; (b) your violation of these Terms; (c) your violation of any third-party platform’s terms of service or policies; (d) any content you publish or distribute; (e) any rank-and-rent, GBP, review, SEO, lead generation, or other business activities you conduct; or (f) any dispute between you and a client, business, or third party.

13. Disclaimer of Warranties

THE TOOLKIT IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE EXPRESSLY DISCLAIM ANY WARRANTY THAT THE TOOLKIT, ITS DATA, OR ANY STRATEGY FACILITATED BY IT WILL PRODUCE ANY PARTICULAR RESULT OR COMPLY WITH ANY THIRD-PARTY PLATFORM’S POLICIES NOW OR IN THE FUTURE.

14. Platform Policy Changes

Google, Meta, and other platforms update their policies frequently and without notice. Strategies that are permissible today may become prohibited tomorrow. We do not undertake any obligation to update the Toolkit, course materials, or these Terms to reflect platform policy changes. You accept all risk associated with changes to third-party platform policies.

15. Modifications and Termination

We reserve the right to modify, suspend, or discontinue the Toolkit or any feature at any time without notice or liability. We may update these Terms at any time. Continued use after any update constitutes your acceptance of the revised Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the courts of Ontario, Canada. You waive any objection to jurisdiction or venue in such courts.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Triangle City Digital regarding the Toolkit and supersede all prior agreements or understandings.
